Business licensing and compliance for a cryptocurrency company in the UAE

Defining Your Business Activity

The UAE has adopted an advanced legal and regulatory framework for virtual assets, designed to encourage innovation while protecting market integrity and investors. Setting up a cryptocurrency trading company involves several requirements that vary depending on the emirate and the relevant regulator. The first step is precisely defining the business activity — whether operating a trading platform, brokerage, custody service, digital wallet management, or another virtual-asset-related service — since this determines which regulator will issue the licence.

Incorporation, Licensing and Regulatory Approval

A legal entity must be incorporated in accordance with UAE law, with the company’s Articles of Association aligned with its intended activity, followed by company registration and the issuance of a commercial licence. Before commencing operations, the company must also obtain regulatory approval from the authority responsible for virtual assets in its chosen location.

Business Plan, Compliance and Risk Management

A detailed business plan is required, covering the nature of the services, the operating model, risk management, management structure, and the technical systems used to run the platform. Companies must also implement effective Anti-Money Laundering and Counter-Terrorism Financing (AML/CFT) policies, Know Your Customer (KYC) checks, transaction monitoring, and suspicious activity reporting — supported by a qualified Compliance Officer and Risk Manager, along with strong internal controls.

Security, Capital and Ongoing Supervision

Regulators require secure technical systems to protect customer data and digital assets, along with cybersecurity safeguards and business continuity plans. Depending on the case, a minimum capital requirement may apply, alongside accurate financial record-keeping and periodic reporting. Companies must also disclose risks transparently, protect customer funds, and treat all clients fairly. Ongoing supervision may include periodic audits, with penalties, suspension, or licence revocation possible in the event of serious violations.
